Terms of Service
These Terms of Service ("Terms") govern your use of the Crimson Business Consulting, LLC ("CBC") website at crimsonbc.com, including all free tools, articles, downloadable resources, and the consultation-booking functionality. By using the site, you agree to these Terms. These Terms do not govern paid consulting engagements — those are governed by a separate, signed engagement letter.
1. Use of the site
You agree to use the site lawfully and not to attempt to disrupt it, scrape it at scale, copy or republish content without permission, or use it to send spam or malware. We may modify, suspend, or remove site features at any time.
2. Educational content; no professional advice
Articles, guides, downloads, and tools (including the ROI Calculator, Business Health Quiz, and Startup Estimator) are provided for general informational and educational purposes only. They are not legal, financial, tax, accounting, or investment advice, and should not be relied on as such. Estimates produced by interactive tools are illustrative models, not forecasts for any specific business. Consult a qualified professional before making decisions that affect your business, finances, or legal position.
3. Business consulting and legal services
Crimson Business Consulting is primarily a business consulting firm. Its principal consultant is a member of the Maryland State Bar and is authorized to provide legal services in Maryland. Whether a given engagement is business consulting or legal work depends on what the signed engagement letter says: CBC performs legal work — legal advice or legal representation — only when the engagement letter expressly designates the work as legal services. When it does, that work is performed by the Maryland-barred principal, and an attorney-client relationship (and, where applicable, attorney-client privilege) is formed for the scope defined in that letter. Visiting this site, contacting CBC, booking a consultation, or engaging CBC for services that are not expressly designated as legal services does not constitute legal work and does not create an attorney-client relationship. For matters CBC does not handle — for example, litigation — CBC may refer you to qualified Maryland counsel through its referral network.
4. Consultations and engagements
The free 30-minute consultation booking on this site is a discovery conversation. It is not a guarantee of representation, engagement, or outcome. A paid CBC engagement begins only when both parties sign a CBC engagement letter that defines scope, deliverables, fees, and term.
5. Newsletter and email
By subscribing to the Crabcakes & Commerce newsletter, you consent to receive periodic email from CBC related to Maryland small-business strategy, regulation, and research. You may unsubscribe at any time using the link in any newsletter or by emailing info@crimsonbc.com.
6. Intellectual property
All content on the site — including written articles, the CBC logo, marks, downloadable templates, and tool methodology — is owned by CBC or its licensors and is protected by U.S. copyright and trademark law. You may share links to CBC content and quote brief excerpts with attribution. You may not republish, resell, or systematically scrape CBC content without prior written permission.
7. Third-party links and services
The site may link to third-party websites and services (Google Calendar, Substack, chambers of commerce, the BBB, etc.) that are not under our control. We are not responsible for their content or practices. Their use is governed by their own terms and privacy policies.
8. Disclaimers and limitation of liability
The site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the fullest extent permitted by Maryland law, CBC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site or reliance on its content. CBC's total liability for any claim arising from your use of the site is limited to USD $100.
9. Indemnification
You agree to defend, indemnify, and hold harmless CBC, its members, employees, and contractors from any claims, damages, or expenses arising out of your misuse of the site, violation of these Terms, or infringement of any third-party rights.
10. Governing law and venue
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the site shall be brought exclusively in the state or federal courts located in Baltimore, Maryland, and you consent to the personal jurisdiction of those courts.
11. Changes
We may update these Terms from time to time. The "Effective" date at the top reflects the current version. Continued use of the site after changes are posted constitutes acceptance of the revised Terms.
